By accessing this website (www.structuranordic.se) or by engaging Structura Nordic AB for engineering services — whether by submitting an enquiry, accepting a proposal, or entering into a project agreement — you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you are acting on behalf of a company or organisation, you represent and warrant that you have authority to bind that entity to these Terms.

2. About Our Services

Structura Nordic AB is a professional engineering consultancy based in Gothenburg, Sweden, providing:

• Façade design and engineering (curtain wall, unitized, stick systems, cladding, skylights, timber & rainscreen)
• BIM modelling and 3D coordination (LOD 100–500, Revit, Tekla, Rhino)
• Shop drawings, fabrication drawings and technical documentation
• Structural calculations, wind load analysis, glass and mullion sizing, thermal analysis
• Mechanical design and engineering (jigs, fixtures, SPM, FEA)
• Project management and coordination
• Parametric modelling and BIM automation

All services are delivered remotely and/or on-site as agreed in individual project agreements. Structura Nordic AB retains full client-facing accountability on every project.

3. Website Use

This website is provided for informational purposes about Structura Nordic AB and its services. You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use of the website.

You must not:

• Use the website in any way that violates applicable local, national, or international law or regulation

4. Enquiries & Project Proposals

Submitting an enquiry via our contact form does not create a contractual obligation on either party. It is an invitation to discuss a potential project.

Any quotation or proposal issued by Structura Nordic AB is:

• Non-binding until both parties sign a written project agreement or statement of work
• Valid for 30 calendar days from the date of issue, unless otherwise stated in the proposal
• Subject to change if the scope, software requirements, or timeline are materially altered before acceptance

A binding contract is formed only upon the written acceptance of a formal project agreement signed by an authorised representative of both parties.

5. Client Obligations

To enable Structura Nordic AB to deliver services effectively, the client agrees to:

• Provide accurate, complete, and timely project information, drawings, specifications and reference materials as required
• Grant necessary access to software environments, file-sharing platforms, and project coordination tools as agreed
• Designate a named point of contact with authority to provide instructions and approvals
• Respond to queries and review submissions within the timelines agreed in the project schedule
• Promptly notify Structura Nordic AB of any changes to the project scope, requirements, or timeline

Delays caused by the client's failure to meet these obligations may result in revised delivery timelines and/or additional charges, which will be communicated in advance.

6. Intellectual Property

Client deliverables: Upon receipt of full payment for a project, all intellectual property rights in the specific deliverables produced for that project (drawings, models, reports, documentation) transfer to the client, unless otherwise agreed in writing.

Retained rights: Structura Nordic AB retains ownership of:

• All methodologies, processes, templates, tools, scripts, and automation workflows used to produce deliverables
• Any background IP developed independently of the client project
• The right to reference the project in portfolios, marketing materials, and proposals — unless the client requests confidentiality in writing prior to project commencement

Website content: All content on this website — including text, images, graphics, design, and branding — is the property of Structura Nordic AB and may not be reproduced, distributed, or used without prior written consent.

Pending payment: No rights to deliverables transfer until all outstanding invoices for the relevant project are paid in full.

7. Confidentiality

Both parties agree to keep confidential all proprietary or sensitive information received from the other party in connection with a project ("Confidential Information"), and not to disclose it to third parties without prior written consent.

Confidential Information does not include information that:

• Is or becomes publicly known through no breach of this agreement
• Was already known to the receiving party at the time of disclosure
• Is independently developed by the receiving party without reference to the Confidential Information
• Is required to be disclosed by law or court order — in which case the disclosing party shall give reasonable advance notice

This confidentiality obligation survives termination of any project agreement for a period of 5 years.

Where a non-disclosure agreement (NDA) is required by the client, Structura Nordic AB is willing to execute a separate NDA prior to receiving sensitive project materials.

8. Fees & Payment

Fees are agreed on a project-by-project basis and set out in the relevant project agreement or statement of work. Unless otherwise stated:

• Invoices are issued upon project milestones or monthly, as agreed
• Payment is due within 30 days of the invoice date
• Late payments are subject to interest in accordance with Swedish law (Räntelagen 1975:635)
• Structura Nordic AB reserves the right to suspend delivery of services and withhold deliverables until outstanding invoices are settled
• All fees are exclusive of VAT (Swedish: moms), which is added where applicable

Any agreed expenses incurred on behalf of the client (e.g., travel, specialist software licences) will be billed at cost with supporting documentation.

9. Limitation of Liability

To the fullest extent permitted by applicable law:

• Structura Nordic AB's total liability for any claim arising from or in connection with a project is limited to the total fees paid by the client for the specific deliverable that gave rise to the claim
• Structura Nordic AB is not liable for any indirect, consequential, incidental, special, or punitive losses, including lost profits, loss of data, or loss of business opportunity, even if advised of the possibility of such losses
• Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable Swedish law

Structura Nordic AB carries professional indemnity insurance appropriate to the nature and scale of its engagements. Details are available upon request.

10. Warranties & Disclaimers

Service quality: Structura Nordic AB warrants that services will be performed with reasonable professional skill, care, and diligence, in accordance with applicable engineering standards and the agreed project scope.

Regulatory approval: We do not warrant that any deliverable will receive approval from any regulatory authority, building control body, or client-side approver. Approval processes are outside our direct control.

Website: This website is provided "as is." While we endeavour to keep information accurate and up to date, Structura Nordic AB makes no representations or warranties of any kind, express or implied, regarding the completeness, accuracy, or fitness for purpose of website content. We are not liable for any loss arising from reliance on website information.

Third-party links: Any links to external websites are provided for convenience only. Structura Nordic AB has no control over, and accepts no responsibility for, the content or practices of any linked site.

11. Termination

Either party may terminate a project agreement by giving 14 calendar days' written notice to the other party, unless the project agreement specifies a different notice period.

Upon termination:

• The client shall pay for all work completed and expenses incurred up to the termination date
• Structura Nordic AB shall deliver all completed work product to the client upon receipt of final payment
• Both parties remain bound by their confidentiality obligations

Structura Nordic AB may terminate immediately if the client breaches any material term of the project agreement and fails to remedy that breach within 7 days of written notice.

12. Governing Law & Dispute Resolution

These Terms of Service, and any project agreement or dispute arising from or in connection with them, are governed by the laws of Sweden.

Any dispute that cannot be resolved by good-faith negotiation between the parties shall be finally settled by the courts of Gothenburg, Sweden (Göteborgs tingsrätt), which shall have exclusive jurisdiction, unless both parties agree in writing to an alternative dispute resolution process (e.g., arbitration).

For clients based in EU member states, applicable EU consumer protection regulations and mandatory local law rights are not affected by this choice of law and jurisdiction clause.

13. Changes to These Terms

Structura Nordic AB reserves the right to update these Terms of Service at any time. The current version is always available on this page, with the effective date shown at the top.

For ongoing project engagements, changes to these Terms will not apply retroactively without the client's written consent. Continued use of the website or engagement of new services after any update constitutes acceptance of the revised Terms.
